RECOMMENDATION:

Recommendation Concerning a Conflict of Interest Waiver for Bryant Miller and Olive in representing Escambia County and PNC Bank in a bond refinance by International Paper.

That the Board:

A. Waive any potential conflict of interest that Bryant Miller and Olive may have with regards to representation of Escambia County and PNC Bank; and

B. Authorize the County Attorney to execute the Conflict Waiver on behalf of the Board of County Commissioners.

BACKGROUND:

The County’s bond counsel, Bryant Miller and Olive, is representing Escambia County in a bond refinance by International Paper. From time to time, our bond counsel represents PNC Bank as bank counsel on tax-exempt transactions. In the IP conduit transaction, PNC is the lender to IP and the County is the issuer on behalf of IP. Bryant Miller and Olive reviewed documents on behalf of the County in this particular transaction and is not representing PNC, but due to the perceived conflict, our bond counsel is requesting a conflict waiver.
