Recommendation Concerning Amendment to the Terms Creating the Office of Compliance and Ethics.

That the Board accept amendments to the terms creating the Office of Compliance and Ethics, as previously seen by the Board at its November 18, 2019, Board meeting.

BACKGROUND:

At its November 18, 2019, regular meeting, the Board blessed a Director of the Office of Compliance and Ethics and saw in the backup of that item terms creating the office and setting forth the powers and duties of that office. The attached amendments to those terms reflects legal review and consideration of the legal limitations on powers of such office.
